In fulfilling its responsibilities, the Committee is entitled to form and delegate any or all of its responsibilities to one or more members of the Committee or the Board, or to the Company's officers, when appropriate and permitted by applicable legal and regulatory requirements. Where so permitted, such person(s) may exercise the powers and authority of the Committee and the Board while acting within the scope of the powers and responsibilities delegated to it.
