P. Michael Giftos is a member of the audit committee, the nominating and corporate governance committee and the safety, health and environmental committee. He was appointed to Foundation’s board of directors in December 2005. Mr. Giftos has also served as a member of the board of directors of Pacer International, Inc. since April 2004, in which he is a member of its compensation committee and chairman of its governance committee. From 1985 to 2004, he served in many executive positions with CSX Corporation and its subsidiaries (“CSX”). From 2000 through 2004, Mr. Giftos served as CSX Transportation’s executive vice president and chief commercial officer. He served as senior vice president and general counsel at CSX from 1990 through 2000. From 1985 through 1989 he served as vice president and general counsel at CSX. Mr. Giftos received his law degree from the University of Maryland and a Bachelor of Arts in Political Science from George Washington University.
